    Organizer Agreement

    1. Your role

    You (the "Organizer") are the seller of record for tickets you list on FUNC. You are solely responsible for producing the event, honoring valid tickets, communicating changes, and complying with all laws that apply to your event. FUNC provides ticketing, checkout, check-in, promoter, resale, communications, and analytics tools, and acts as a limited payment facilitator on your behalf via Stripe Connect.

    2. Stripe Connect and payouts

    You must complete Stripe Connect Express onboarding before publishing paid events. Payouts are made by Stripe on Stripe's schedule to your linked bank account. FUNC does not hold funds beyond what is necessary for reversals, chargebacks, refunds, resale splits, and promoter commissions. You authorize FUNC to instruct Stripe to deduct platform fees, resale royalties, promoter commissions, and refund reversals from your balance.

    3. Fees

    • Primary sales: 15% FUNC platform fee plus Stripe payment processing are always passed to the buyer as a separate "Service fee" line item. You net the full ticket price you set (minus any tax you collect on the buyer's behalf).
    • Resale marketplace: 20% FUNC platform fee on resale price + your configured royalty (default 5%).
    • Payment processing: Stripe's standard fees apply and pass through to you.
    • Pro subscription: $49/month, with add-on seats at $10/month or $35/month for 5.

    4. Taxes and legal compliance

    You are responsible for determining, collecting, reporting, and remitting all applicable taxes (sales tax, VAT, GST, amusement/entertainment tax, income tax) for your events. You represent that you hold all licenses, permits, insurance, and approvals required to produce your event, including alcohol, food-service, security, accessibility (ADA/equivalent), and health-and-safety requirements. FUNC does not provide tax or legal advice.

    5. Event content and honesty

    You warrant that event descriptions, images, tier names, prices, dates, times, venues, and refund policies are accurate and not deceptive. Bait-and-switch tactics, hidden fees not disclosed at checkout, and misrepresentation of talent, capacity, or amenities are prohibited.

    6. Refunds and cancellations

    You can issue full or partial refunds from your dashboard up to 7 days after the event ends. After that window, refunds are locked because promoter commissions have auto-settled. If you cancel an event, FUNC will automatically process full refunds to buyers (including the FUNC platform fee where the buyer paid it) and reverse unpaid promoter commissions.     7. Promoter program

    You set the commission model (flat or percentage), rewards, and access rules for your event. Once the event is published, promoter program terms are locked to protect promoters. Commissions auto-approve on payment and auto-pay 7 days after the event ends via Stripe Connect. You must not run misleading or unlawful promotional practices through the promoter tools.

    8. Resale marketplace

    Resale is opt-in per event. When enabled, you may set a price cap and a royalty percentage. FUNC handles the payment split and automatic ownership transfer. You remain responsible for honoring resold tickets at the door.

    9. ID scanning and 18+ / 21+ events

    If you enable ID scanning, you are responsible for training door staff, complying with local ID laws, and refusing entry when age verification fails. FUNC parses barcode data on-device where possible and stores only the pass/fail outcome tied to the check-in.

    10. Attendee data

    FUNC shares attendee name, email, phone, and order details with you as an independent data controller for your event. You must use attendee data solely to service the event, comply with the Privacy Policy, applicable data-protection laws (GDPR, UK GDPR, CCPA/CPRA, and similar), and honor unsubscribe requests. You must not sell attendee data or share it with third parties without a lawful basis.

    11. Communications

    Organizer messaging (email and SMS) may only be used for legitimate, event-related communications to your attendees and staff. You must comply with CAN-SPAM, TCPA, CASL, and other applicable messaging laws, honor opt-outs, and refrain from promotional messages unrelated to the specific event or organization the attendee bought from.

    12. Milo AI

    Pro organizers may use Milo, an AI assistant that proposes actions (drafting events, tiers, promoter programs, messages) for your explicit approval. You are responsible for reviewing every Milo proposal before approving. Milo output may contain errors and does not constitute legal, tax, or accounting advice.

    13. Team members and roles

    You may invite organization members (owner, admin, manager) and event staff (event manager, door, security, promoter). You are responsible for the actions of your team members. Roles are enforced via row-level security and audit logs; suspicious activity may result in review or suspension.

    14. Prohibited events

    You may not list events that involve unlawful activity, sale of illegal goods or services, weapons, unlicensed gambling, sexual services, exploitation of minors, hate content, promotion of violence, deceptive get-rich schemes, or any activity that violates Stripe's or our payment providers' restricted-business policies. FUNC may remove any event that violates this section without prior notice and issue refunds at its discretion.

    15. Chargebacks and reserves

    You are financially responsible for chargebacks, disputes, refunds, and reversals on your sales. FUNC may withhold payouts, place a rolling reserve, delay Stripe transfers, or offset future sales to cover disputed or refundable amounts. Excessive chargebacks may result in Stripe restrictions or termination.

    16. Indemnification

    You agree to defend, indemnify, and hold harmless FUNC, its officers, and employees from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your event, your content, your use of attendee data, your tax or licensing obligations, or your breach of this Agreement or applicable law.

    17. Suspension and termination

    FUNC may suspend or terminate your account or a specific event at any time for actual or suspected violation of these terms, excessive chargebacks, risk to buyers, or requests from payment providers or law enforcement. On termination, published events may be cancelled and refunds initiated. You may close your account at any time; obligations that arose before termination survive.

    18. Subscription cancellation

    Pro subscriptions and seat packs renew automatically until cancelled from the Manage Subscription portal. Access continues through the end of the current billing period. On downgrade to free, features gated to Pro (Milo, VIP tiers, extra seats, ID scanning, premium analytics) will disable.

    19. General

    This Agreement supplements and is subject to the FUNC Terms of Service. In case of conflict between this Agreement and the Terms, the Terms control unless this Agreement expressly says otherwise. Governing law, arbitration, and class-action waiver are as set out in the Terms.
